Terms of Service for Willard Energy Software’s Data Products
These Terms of Service ("Terms") govern your access to and use of the data products and related services ("Services") provided by Willard Energy Software. By accessing or using our Services, you agree to be bound by these Terms.
To use our Services, you must be an authorized representative of a legal business entity and agree to comply with these Terms. You are responsible for all activity that occurs under your account and must ensure that account information remains accurate and secure.
You may use the Services solely for internal business purposes related to energy pricing, risk management, and forecasting. You agree not to:
Copy, modify, distribute, or reverse engineer any part of the Services;
Use the Services to infringe upon the rights of others or violate applicable laws;
Transmit any harmful code, viruses, or engage in unauthorized data scraping or extraction.
Willard reserves the right to suspend or terminate access if the Services are misused or these Terms are violated.
Customer Data: All data you upload or input into the Services remains your property. You grant Willard a limited license to use this data solely to provide, maintain, and improve the Services.
Willard Data: Any proprietary datasets, models, or algorithms provided as part of the Services remain the exclusive property of Willard.
We do not access, use, or disclose your data except as outlined in our privacy policy.
Use of the Services may be subject to subscription fees as specified in your service agreement. All fees are due as invoiced and are non-refundable unless otherwise stated. Late payments may result in service suspension.
We strive to maintain 99.9% uptime for our Services, excluding scheduled maintenance and force majeure events. Support is available during standard business hours via our contact form on the home page.
Both parties agree to maintain the confidentiality of non-public information exchanged under these Terms. This obligation remains in effect for three (3) years after the termination of Services.
To the maximum extent permitted by law, Willard is not liable for any indirect, incidental, special, or consequential damages, including loss of profits or data. Total liability under these Terms will not exceed the amount paid for the Services in the twelve (12) months preceding the claim.
You may terminate your account at any time by providing written notice. Willard may suspend or terminate your access to the Services for breach of these Terms, with or without notice.
Upon termination, your access to the Services will end, but your obligations regarding payment, confidentiality, and indemnity will survive.
We may update these Terms occasionally. Changes will be effective upon posting or upon written notice. Continued use of the Services constitutes acceptance of the revised Terms.
These Terms are governed by the laws of Washington State, without regard to its conflict of laws principles. Any disputes will be resolved in the courts of Washington State.
